Welcome to Goodsky AI! These Terms and Conditions ("Terms") outline the rules and regulations for the use of Goodsky AI's website and services. By accessing or using our website and services, you agree to comply with and be bound by these Terms.

1. Definitions

  • "We," "Us," "Our": Refers to Goodsky AI.

  • "Client" or "You": Refers to the individual or entity accessing our services.

  • "Services": Refers to AI and automation solutions provided by Goodsky AI, including consulting, development, integration, and maintenance.

2. Services Goodsky AI provides customized AI solutions tailored to meet your business needs. Services include, but are not limited to:

  • AI opportunity identification and strategy consulting

  • Workflow analysis and automation discovery

  • Development and integration of custom AI solutions

  • Post-deployment maintenance and optimization

  • Team training and AI transformation support

Specific deliverables, timelines, and pricing will be outlined in a separate Statement of Work (SOW) or project proposal.

3. User Responsibilities By using our services, you agree to:

  • Provide accurate and complete information necessary for project execution

  • Use our solutions in compliance with applicable laws and regulations

  • Avoid misuse, unauthorized distribution, or reverse engineering of provided solutions

  • Maintain the confidentiality of any proprietary methods or technologies shared by Goodsky AI

4. Intellectual Property

  • All intellectual property rights related to custom solutions created by Goodsky AI remain the property of Goodsky AI until full payment is received

  • Upon full payment, the client will receive a non-exclusive license to use the delivered solutions for their internal business operations

  • Pre-existing intellectual property and general methodologies remain the property of their respective owners

  • Clients retain ownership of their proprietary data and business information

5. Confidentiality Both parties agree to maintain the confidentiality of all proprietary information shared during the engagement. This includes business data, technical specifications, strategic plans, and other sensitive information. This obligation survives termination of the agreement.

6. Payment Terms

  • Payment terms will be specified in individual project agreements

  • Late payments may incur interest charges of 1.5% per month or the maximum allowed by law, whichever is less

  • Goodsky AI reserves the right to suspend services for accounts that are 30 days past due

7. Limitation of Liability To the fullest extent permitted by law, Goodsky AI's liability is limited to the total amount paid by the client for the specific services giving rise to the claim. Goodsky AI is not liable for:

  • Indirect, incidental, special, or consequential damages

  • Loss of profits, data, or business opportunities

  • Damages resulting from client's misuse of AI solutions or failure to follow implementation guidelines

  • Delays or failures caused by factors beyond our reasonable control

8. Termination

  • Either party may terminate an engagement with 15 days' written notice

  • Upon termination, the client remains responsible for payment of all work completed and expenses incurred up to the termination date

  • Goodsky AI will deliver all completed work products that have been paid for

  • Termination for cause (breach of contract, non-payment after 45 days past due) may be immediate

9. Warranties and Disclaimers

  • Goodsky AI warrants that services will be performed in a professional manner consistent with industry standards

  • AI solutions are provided "as is" and results may vary based on implementation and usage

  • We do not warrant that AI solutions will meet all client expectations or be error-free

  • Client acknowledges that AI technology involves inherent uncertainties and limitations

10. Modifications Goodsky AI reserves the right to update these Terms and Conditions with 30 days' notice. Clients will be notified of material changes via email. Continued use of services after such modifications indicates acceptance of the updated Terms.

11. Governing Law and Dispute Resolution These Terms shall be governed by the laws of the State of California. Any disputes will first be addressed through good faith negotiations. If unresolved, disputes may be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

12. Entire Agreement These Terms, together with any executed project agreements or SOWs, constitute the entire agreement between the parties and supersede all prior understandings or agreements.
